These Terms & Conditions govern your use of the InfluenceElite platform, the Exposure mobile application, and all related services operated by Ayadi Cloudversity.
1. Acceptance of Terms
By accessing or using the InfluenceElite platform, the Exposure mobile application, and related services (collectively, the "Platform") operated by Ayadi Cloudversity ("we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not access or use the Platform.
2. Description of Services
The Platform is an influencer-affiliate admission management system that enables: • Influencers to register, receive campaign content, share referral links, and earn commissions on student enrollments • Students to register for courses through influencer referral links • Administrators to manage campaigns, content, referrals, enrollments, and payments
3. User Registration and Accounts
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We reserve the right to suspend or terminate accounts that provide false information, violate these terms, or engage in fraudulent or abusive behaviour.
4. Influencer Terms
As an influencer on our Platform: • You must be at least 18 years of age • Your application is subject to review and approval by our team • You agree to share campaign content in accordance with provided guidelines • Commissions are earned only on verified, non-fraudulent student enrollments • We reserve the right to modify commission structures with reasonable notice • You may not use deceptive practices to generate referrals
5. Student Admissions
Students who register through the Platform agree to: • Provide accurate personal and educational information • Complete the admission process as directed • Acknowledge that admission decisions are at the discretion of the partner educational institutions • Understand that referral codes are provided by influencers and do not guarantee admission
6. Intellectual Property
All content, trademarks, logos, and materials provided on the Platform, including campaign assets, are owned by or licensed to Ayadi Cloudversity. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Campaign content provided to influencers may be used solely for the purpose of promoting the associated campaigns and may not be used for any other purpose.
7. Prohibited Conduct
You agree not to: • Use the Platform for any unlawful purpose • Impersonate any person or entity • Interfere with the security or functionality of the Platform • Attempt to access restricted areas without authorisation • Engage in spam, fraud, or misleading activities • Reverse engineer, decompile, or disassemble any part of the Platform • Use automated scripts or bots to interact with the Platform
8. Payments and Commissions
Commission payments to influencers are processed through Razorpay. Payment terms, including amounts and payout schedules, will be communicated through the Platform. We reserve the right to withhold payments if fraudulent activity is detected. All fees are exclusive of taxes, and you are responsible for any applicable taxes on commissions earned.
9. Limitation of Liability
To the maximum extent permitted by law, Ayadi Cloudversity shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claims shall not exceed the amount paid by you to us, if any, in the six months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Ayadi Cloudversity, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Platform, your violation of these Terms, or your violation of any applicable law.
11. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms. We will make reasonable efforts to notify you of material changes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kozhikode, Kerala, India.
